These Terms and Conditions govern your use of the Milvian Group website, the Aqueduct platform, and all related services. By accessing our website or using our services, you agree to be bound by these terms. Please read them carefully before proceeding.

1. Acceptance of Terms

By accessing milvian.group, creating an account, or using any Milvian Group service, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions and our Privacy Policy. If you do not agree with these terms, you may not use our services.

These terms apply to all users of our services, including visitors to our website, customers who have purchased access to the Aqueduct platform, and users of our IoT hardware and consulting services.

If you are entering into these terms on behalf of a company or organization, you represent that you have the authority to bind that entity to these terms, and references to "you" or "your" will refer to that entity.

2. Services Overview

Milvian Group provides smart facilities technology solutions, including:

  • The Aqueduct platform, a cloud based software service for monitoring and managing building systems
  • IoT sensor hardware and installation services
  • AI powered analytics for leak detection, energy management, and predictive maintenance
  • Professional services including site assessments, system integration, and ongoing support
  • Access to our platform through AWS infrastructure and AWS Marketplace

The specific services available to you depend on your subscription plan and service agreement. Features, functionality, and availability may vary based on your selected service tier.

3. Account Registration and Security

Account Creation

To access the Aqueduct platform, you must create an account by providing accurate and complete information. You are responsible for maintaining the accuracy of your account information and updating it when necessary.

Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must:

  • Use a strong, unique password for your account
  • Not share your login credentials with unauthorized individuals
  • Notify us immediately if you suspect unauthorized access to your account
  • Ensure that users in your organization follow appropriate security practices

We reserve the right to suspend or terminate accounts that we reasonably believe have been compromised or are being used in violation of these terms.

User Permissions

Account administrators are responsible for managing user access within their organization. You are responsible for the actions of all users who access the service through your account.

4. Subscription and Payment Terms

Service Fees

Access to the Aqueduct platform and related services requires a paid subscription. Fees are based on the service tier, number of facilities, sensors deployed, and additional services selected. Pricing is provided in your service agreement or order form.

Billing

Subscriptions are billed in advance on a monthly or annual basis as specified in your agreement. You authorize us to charge your designated payment method for all fees when due. If automatic payment fails, we will notify you and you must provide updated payment information within ten days to avoid service interruption.

Price Changes

We may change our pricing with 60 days advance notice. Price changes will apply to renewals but not to the current subscription period you have already paid for. If you do not agree with a price change, you may cancel your subscription before the renewal date.

Refunds

Subscription fees are non-refundable except as required by law or as specifically stated in your service agreement. If you cancel your subscription, you will retain access through the end of your current billing period but will not receive a refund for unused time.

Hardware Purchases

IoT sensors and hardware devices are sold separately from software subscriptions. Hardware purchases are subject to separate payment terms and return policies as specified at the time of purchase.

5. Acceptable Use

You agree to use our services only for lawful purposes and in compliance with these terms. You may not:

  • Use the service to violate any applicable laws or regulations
  • Attempt to gain unauthorized access to our systems or other user accounts
  • Interfere with or disrupt the integrity or performance of our services
  • Reverse engineer, decompile, or attempt to extract source code from our software
  • Use automated tools to access the service in ways that exceed reasonable human usage
  • Remove or obscure any proprietary notices from our software or documentation
  • Resell, sublicense, or otherwise commercialize our services without authorization
  • Upload malicious code, viruses, or harmful content to our platform
  • Use the service to monitor facilities you do not own or have authorization to monitor

We reserve the right to investigate suspected violations and to suspend or terminate access for users who violate these acceptable use policies.

6. Data Ownership and Usage

Your Data

You retain ownership of all building data, sensor readings, and other information you provide to or generate through our platform. We do not claim ownership of your operational data.

Our Use of Data

You grant us permission to use your data as necessary to provide our services, including:

  • Processing sensor data through our AI algorithms to generate insights and alerts
  • Storing data on AWS infrastructure to ensure availability and reliability
  • Using aggregated and anonymized data to improve our algorithms and develop new features
  • Displaying your data through dashboards and reports within your account

Data Security

We implement appropriate security measures to protect your data as described in our Privacy Policy. However, you acknowledge that no system is completely secure and we cannot guarantee absolute protection against all threats.

Data Portability

You can export your data from the Aqueduct platform at any time using our data export features. Upon termination of your subscription, we will provide a final data export upon request and then delete your data according to our retention policies.

7. Intellectual Property Rights

Our Property

The Aqueduct platform, all associated software, AI algorithms, documentation, and other materials we provide are our proprietary property or the property of our licensors. We grant you a limited, non-exclusive, non-transferable license to use our services according to these terms.

Our trademarks, logos, and service marks are protected intellectual property. You may not use them without our written permission.

Feedback

If you provide us with suggestions, ideas, or feedback about our services, we may use that feedback to improve our products without any obligation to you.

8. Service Availability and Support

Uptime

We strive to maintain high availability of our services and target 99.9% uptime for the Aqueduct platform. However, we do not guarantee uninterrupted access and may need to perform maintenance, updates, or repairs that temporarily affect availability.

Scheduled Maintenance

We will provide advance notice of planned maintenance whenever possible. Emergency maintenance may be performed without notice when necessary to protect the security or functionality of our services.

Support

Support services are provided according to your service tier. Standard support includes email support during business hours. Premium support packages with 24/7 availability and dedicated response teams are available for enterprise customers.

AWS Dependency

Our services run on AWS infrastructure. Service availability may be affected by AWS outages or disruptions beyond our control. We work closely with AWS to minimize impact but cannot be held liable for issues originating from AWS infrastructure.

9. Warranties and Disclaimers

Service Warranty

We warrant that our services will substantially conform to the functionality described in our documentation when used as intended. If you report a material defect in our services, we will work diligently to correct it or provide a workaround.

EXCEPT AS EXPRESSLY STATED ABOVE, OUR SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

AI and Predictions

Our AI-powered features provide predictive insights based on data analysis, but we do not guarantee the accuracy of predictions or that following our recommendations will prevent all equipment failures or operational issues. You remain responsible for making operational decisions and maintaining your facilities.

Hardware

IoT sensors and hardware devices carry manufacturer warranties as specified at the time of purchase. We facilitate warranty claims but are not the manufacturer of most hardware components.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MILVIAN GROUP SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES ARISING FROM YOUR USE OF OUR SERVICES.

Our total liability for any claims related to our services is limited to the amount you paid us in the 12 months preceding the claim.

These limitations apply regardless of the legal theory on which a claim is based and even if we have been advised of the possibility of such damages. Some jurisdictions do not allow certain limitations of liability, so these limitations may not fully apply to you.

Critical Systems

Our services are not designed or certified for use in hazardous environments or life-critical applications. You may not use our services in applications where failure could lead to death, personal injury, or severe environmental damage without appropriate additional safeguards and redundancies.

11. Indemnification

You agree to indemnify and hold harmless Milvian Group, its officers, employees, and partners from any claims, damages, losses, or expenses (including legal fees) arising from:

  • Your violation of these terms or applicable laws
  • Your use of our services in a manner not authorized by these terms
  • Infringement of third party rights by your use of our services
  • Actions of users who access our services through your account

We reserve the right to assume exclusive defense and control of any matter subject to indemnification, and you agree to cooperate with our defense of such claims.

12. Term and Termination

Term

These terms remain in effect as long as you access or use our services. Your subscription continues according to the billing cycle you selected until you cancel or we terminate it.

Cancellation by You

You may cancel your subscription at any time through your account settings or by contacting our support team. Cancellation will take effect at the end of your current billing period. You remain responsible for all charges incurred through the end of that period.

Termination by Us

We may suspend or terminate your access immediately if you violate these terms, fail to pay fees when due, or engage in conduct that we reasonably believe harms our services or other users. We may also terminate your account with 30 days notice for any reason.

Effect of Termination

Upon termination, your right to use our services ends immediately. We will provide you with access to export your data for 30 days after termination, after which we will delete your data according to our retention policies. Sections of these terms that by their nature should survive termination will continue to apply.

13. Changes to Terms

We may modify these terms from time to time to reflect changes in our services, legal requirements, or business practices. When we make significant changes, we will notify you by email or through a prominent notice in the Aqueduct platform at least 30 days before the changes take effect.

Your continued use of our services after the effective date of changes constitutes acceptance of the modified terms. If you do not agree with the changes, you may terminate your account before they take effect.

14. Dispute Resolution

Informal Resolution

If you have a concern about our services, please contact us first at hello@milvian.group so we can attempt to resolve the issue informally. Most disputes can be resolved through direct communication.

Governing Law

These terms are governed by the laws of the State of Washington, United States, without regard to conflict of law principles. For customers in the European Economic Area, certain consumer protection laws in your jurisdiction may also apply.

Arbitration

For business customers, any disputes that cannot be resolved informally will be resolved through binding arbitration in King County, Washington rather than in court. You and Milvian Group agree to waive the right to a jury trial or to participate in a class action.

For individual consumers, you may have additional rights to pursue claims in small claims court or through other legal mechanisms available in your jurisdiction.

15. General Provisions

Entire Agreement

These Terms and Conditions, together with your service agreement and our Privacy Policy, constitute the entire agreement between you and Milvian Group regarding your use of our services.

Severability

If any provision of these terms is found to be unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full effect.

No Waiver

Our failure to enforce any provision of these terms does not constitute a waiver of that provision or our right to enforce it in the future.

Assignment

You may not assign or transfer these terms or your account without our written consent. We may assign these terms to an affiliate or in connection with a merger, acquisition, or sale of assets.

Force Majeure

Neither party is liable for failure to perform obligations due to circumstances beyond reasonable control, including natural disasters, war, terrorism, labor disputes, or government actions.

Export Compliance

You agree to comply with all applicable export and import laws when using our services. You represent that you are not located in a country subject to a US government embargo or designated as a terrorist supporting country.
